2. Definitions

• "Services" means all software-as-a-service products, tools, websites, and related offerings provided by Visionary Consultant LLC, including Stellar, Aurora, Lumina, and Nova.
• "Subscription" means a paid, recurring plan for access to one or more Services.
• "Free Trial" means a limited-period, no-charge access period offered before a Subscription begins.
• "Content" means any data, text, files, images, or information you upload, submit, or generate through the Services.

3. Services Description

3.1 Stellar ($49/month)

Stellar is an AI-powered business diagnostic tool designed to analyze your business operations and identify your single most critical operational chokepoint. Stellar Pro includes access to Aurora at no additional charge.

3.2 Aurora (Included with Stellar Pro, or $49/month standalone)

Aurora is an AI-powered cash flow forecasting tool that projects future cash positions based on historical data and user-provided inputs.

3.3 Lumina ($49/month)

Lumina is an AI-powered estimation tool that generates contractor cost estimates from user-submitted photographs. Estimates generated by Lumina are AI approximations only and should not be relied upon as professional estimates.

3.4 Nova (Free — No Paid Tier)

Nova is a free AI-powered debt assistance tool. Nova provides informational guidance only and does not constitute financial, legal, or credit counseling advice.

4. Account Registration

You must be at least 18 years of age and legally capable of entering binding contracts to create an account. You agree to provide accurate information and keep your account updated. You are responsible for maintaining the confidentiality of your account credentials.

5. Subscriptions and Auto-Renewal

• Stellar Pro: $49.00/month
• Lumina Pro: $49.00/month
• Aurora: $49.00/month (or included with Stellar)

6. Pricing and Price Changes

Prices are displayed at checkout. We will notify you by email at least 14 days before any increase to your subscription price.

7. Cancellation

You may cancel your Subscription at any time through a single step:

1. Log in to your account
2. Navigate to Account Settings → Subscription → Cancel Subscription
3. Click "Cancel My Subscription"

No phone calls, retention flows, or additional steps are required.

8. Refund Policy

14-Day Money-Back Guarantee: Request a full refund of your first payment within 14 calendar days of your initial charge. Applies to Stellar Pro, Lumina Pro, and Aurora. No reason required.

No Refunds on Renewals: Renewal charges are non-refundable, except in cases of billing errors or unauthorized charges.

To request a refund: Email [email protected] with subject "Refund Request."

9. Free Trial Terms

Your free trial will automatically convert to a paid monthly subscription when the trial period ends. You will receive a reminder email at least 3 days before your trial expires. Cancel anytime during the trial period without charge.

10. Acceptable Use

You agree to use the Services only for lawful purposes. Prohibited: uploading unlawful content, attempting to reverse-engineer our software, using automated bots without consent, reselling access, or any activity that could harm our infrastructure.

11. Intellectual Property

The Services, including all software, algorithms, designs, and trademarks, are owned by or licensed to Visionary Consultant LLC. You retain ownership of Content you submit. AI-generated outputs are provided for your use under these Terms.

12. Third-Party Services

We use Stripe (payments), Supabase (database), Resend (email), and Cloudflare (CDN/security). Use of these services is subject to their respective terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) TOTAL FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) $100.00.

16. Indemnification

You agree to indemnify us against any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your reliance on AI-generated outputs.

17. Dispute Resolution

17.1 Informal Resolution

Contact us at [email protected] and we will attempt to resolve within 30 days.

17.2 Binding Arbitration

Any dispute shall be resolved exclusively by binding arbitration under AAA Consumer Arbitration Rules in Denver County, Colorado.

17.3 Class Action Waiver

You and Visionary Consultant LLC each waive the right to participate in a class action.

17.4 Arbitration Opt-Out

Send written notice to [email protected] with subject "Arbitration Opt-Out" within 30 days of accepting these Terms.

18. Modifications to Terms

We may update these Terms. For material changes, we will provide at least 14 days' advance notice by email. Your continued use after the effective date constitutes acceptance.

19. Termination

We may suspend or terminate your account for violations of these Terms, non-payment, or any harmful conduct. Upon termination, your right to use the Services ceases immediately. Sections 11, 13, 14, 15, 16, 17, and 20 survive termination.

20. General Provisions

These Terms constitute the entire agreement. If any provision is found unenforceable, the remaining provisions continue. Failure to enforce any provision does not waive the right to enforce it later. You may not assign your rights without our consent.
